Terms of Service

1. Scope of services
Sterling Growth provides paid-media strategy, campaign management, creative production, tracking implementation, reporting, and related advisory services on platforms including Meta, Google, TikTok, and other ad networks. The specific scope for each client is defined in a separately signed engagement agreement or statement of work.
2. Client responsibilities
Clients are responsible for:
- Providing timely access to ad accounts, analytics, and creative assets.
- Approving campaigns, creative, and budget changes when requested.
- Complying with all applicable advertising and consumer-protection laws.
- Ensuring the accuracy of claims and testimonials used in ad creative.
- Funding all media spend directly with the ad platforms.
3. Fees and payment
Fees are set out in the engagement agreement and typically billed as a monthly management fee or a percentage of managed ad spend. Invoices are due on receipt unless otherwise agreed. Late payments may result in pause or termination of services. Ad-platform spend is billed separately by the ad platforms directly to the client.
4. No guarantee of results
No specific advertising result, ranking, ROAS, cost per acquisition, or business outcome is guaranteed. Paid-advertising performance depends on many factors outside our control, including product-market fit, pricing, seasonality, offer strength, and platform-side auction dynamics. Case studies and past performance are provided for illustration only and are not a promise of future results.
5. Third-party platform terms
All ads are delivered by third-party platforms (including Meta Platforms, Inc., Google LLC, and others). Those platforms' own advertising policies, community standards, and terms of service govern the delivery, review, and rejection of any ad. Sterling Growth is not responsible for platform-level rejections, account restrictions, cost fluctuations, or algorithm changes.
6. Limitation of liability
To the fullest extent permitted by law, Sterling Growth's total aggregate liability arising out of or related to the services will not exceed the fees paid by the client to Sterling Growth in the three months preceding the event giving rise to the claim. Sterling Growth will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost revenue.
7. Termination
Either party may terminate the engagement on 30 days' written notice unless the engagement agreement states otherwise. Fees earned through the effective date of termination remain due. Sterling Growth may suspend or terminate services immediately for material breach, non-payment, or activity that violates ad-platform policy or law.
8. Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Los Angeles County, California.
